Terms of Service

Welcome to WinScale, a service provided by Cloud-Scale ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Services Description
WinScale provides industrial scale monitoring software and hardware solutions that enable customers to stream truck scale weight data to various display devices including televisions, monitors, smartphones, tablets, and network video recorders (NVRs).
2. Subscription Plans and Pricing
2.1 Available Plans
- Single Scale Plan: $199/month - Supports one (1) scale connection
- Multi-Scale Plan: $399/month - Supports up to three (3) scale connections
- Enterprise Plan: $599/month base fee - Supports unlimited scale connections
2.2 Hardware Requirements
Important: Each scale system requires its own dedicated hardware gateway device. This hardware is provided by Cloud-Scale and remains the property of Cloud-Scale for the duration of your subscription. The cost of the hardware is included in your monthly subscription fee for Single Scale and Multi-Scale plans.
2.3 Enterprise Plan Terms
Enterprise clients are subject to the following additional terms:
- A $10.00 per month per-scale equipment fee applies for each scale connection beyond the base service
- A minimum contract term of twelve (12) months is required
- Early termination fees may apply as outlined in Section 5
3. Payment Terms
Subscription fees are billed monthly in advance. Payment is due upon receipt of invoice. We accept major credit cards and ACH bank transfers. Late payments may result in service suspension after a 15-day grace period.
4. Hardware and Equipment
4.1 Ownership
All hardware gateway devices provided by Cloud-Scale remain the property of Cloud-Scale. Customers are granted a license to use the equipment for the duration of their active subscription.
4.2 Care and Maintenance
Customers are responsible for the reasonable care and maintenance of provided equipment. Customers must not modify, disassemble, or attempt to repair the hardware without prior written authorization from Cloud-Scale.
4.3 Return of Equipment
Upon termination of service, customers must return all Cloud-Scale hardware within thirty (30) days. Failure to return equipment may result in charges equal to the replacement cost of the hardware.
5. Term and Termination
5.1 Subscription Term
Single Scale and Multi-Scale plans operate on a month-to-month basis and may be cancelled with 30 days written notice. Enterprise plans require a minimum 12-month commitment.
5.2 Early Termination
Enterprise customers who terminate before the end of their contract term may be subject to an early termination fee equal to 50% of the remaining contract value.
5.3 Termination for Cause
Either party may terminate this agreement immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving notice.
6. Service Level and Support
Cloud-Scale provides technical support during normal business hours (Monday-Friday, 8:00 AM - 6:00 PM Eastern Time). Enterprise customers receive priority support and access to a dedicated account manager.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUD-SCALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER CLOUD-SCALE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cloud-Scale's total liability under these Terms shall not exceed the total amount paid by the customer in the twelve (12) months preceding the claim.
8. Warranty Disclaimer
THE SERVICES AND HARDWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Indemnification
Customer agrees to indemnify, defend, and hold harmless Cloud-Scale and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from Customer's use of the Services or violation of these Terms.
10. Data and Privacy
Cloud-Scale respects your privacy. Scale weight data transmitted through our services is used solely for the purpose of providing the service. We do not sell or share your operational data with third parties. For more information, please review our Privacy Policy.
11. Modifications to Terms
Cloud-Scale reserves the right to modify these Terms at any time. We will provide notice of material changes via email or through our website. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New Hampshire.
